Terms and Conditions


PRICES AND TERMS

All prices are F.O.B. factory. A minimum deposit of fifty percent (50%) of the purchase price is required to initiate order fulfillment. Orders for textiles and Quick-Ship products require payment in full to initiate order fulfillment. All accounts shall be paid net when invoiced. A service charge of the lesser of 1 1/2% per month or the maximum permissible rate will be added to all accounts not paid within thirty (30) days from the date of invoice for final balance due. Orders must be paid in full, including shipping, handling, crating and packing, STORAGE, taxes and service charges prior to shipping.


SAMPLE FOR APPROVAL

If a Sample For Approval (S.F.A.) is requested, a $75 non-refundable shipping & handling charge will be added to the Order for each requested sample. The requested sample is the clients to keep, however, ERINN V. requires a signature of approval before the Order can be completed.


CANCELLATION OF ORDERS

ALL GOODS ARE CUSTOM MADE TO ORDER SPECIFICATIONS. ORDERS ARE NOT CANCELABLE AFTER RECEIPT OF PAYMENT BY ERINN V. CHANGES IN ORDERS OR CANCELLATIONS REQUIRE PRIOR WRITTEN APPROVAL FROM ERINN V. SUCH ORDERS WILL BE SUBJECT TO CHANGE, CANCELLATION OR STOCKING FEES UP TO 50% OF THE NET SELLING PRICE. FURNITURE IS NON RETURNABLE.

TEXTILES: IF BUYER WAIVES A CFA, THE GOODS ARE NOT RETURNABLE. ANY TEXTILES WHICH HAVE BEEN CUT, TREATED OR PROCESSED ARE NOT RETURNABLE.

CUSTOMER’S OWN MATERIAL (COM) TB117-2013 COMPLIANT

ALL COM MUST BE SENT WITH WRITING FROM THE FABRIC MANUFACTURER STATING IF THE GOODS ARE TB117-2013 COMPLIANT AND WHETHER OR NOT THE GOODS CONTAIN OR DO NOT CONTAIN ADDED FLAME RETARDANTS. IF THE FABRIC MANUFACTURER DOES NOT HAVE THIS PAPERWORK, THE ORDER WILL BE LABELED THAT IT DOES CONTAIN FLAME RETARDANTS. ERINN V. IS NOT RESPONSIBLE FOR MISS-LABELING OF UPHOLSTERED PRODUCT BASED ON COM INFORMATION RECEIVED FROM CLIENT.


COM/COL STANDARD PROCEDURES

All Orders must be accompanied by a completed COM Form. Orders should list the yardage being sent, fabric source, pattern number and color number. The completed COM form shall be returned to ERINN V. with a cutting of the fabric, face side up. All COM rolls should be properly identified with the order number – piece number and customer’s name. Unused COM will be disposed of with no exception. Please make sure that only the amount requested is sent.

Unless customer furnishes clear instructions on the COM Form as to the application, EV will use its own judgment on applying the fabric. All COM will be cut with the major motif in a vertical manner unless otherwise specified, including stripes. ERINN V. will presume that all COM is first quality fabric. Therefore, EV shall assume no responsibility for any imperfections in the fabric before cutting. EV will expect the face side to be rolled to the inside of the roll unless otherwise specified. When fabric width is less than 54” seaming will be necessary. Seaming on leather pieces is necessary and can vary depending on size of hides.

We cannot guarantee the look or tailoring of COM fabrics, since each fabric will cut, sew and tailor differently according to the nature of the fabric. ERINN V. assumes no responsibility for fabric failure of any kind, including seam slippage and wearability. ERINN V. does not warrant in any way Customer’s Own Materials.

All COM trim (fringe, cord, etc.) will incur standard trim upcharges as listed on individual pricelist pages.


FURNITURE:

Many wood and metal finishes are applied by hand and may vary in color, tone and character. While Manufacturer will make every effort to match a finish, no guarantee can be made of an exact match. Manufacturer does not guarantee finishes against fading and oxidizing. Variations in color and veining are inherent in stone and wood and considered to be part of the natural beauty. Furniture is handmade, and therefore is subject to slight variations.


TEXTILES:

Manufacturer does not guarantee fabrics, dyed or natural, from fading.

THE FOREGOING WARRANTY IS IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES NOT EXPRESSLY SET FORTH HEREIN, WHETHER EXPRESS OR IMPLIED BY OPERATION OF LAW OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS.


Electrical/Audio-Visual (“A/V”):

If buyer requests to modify the order to function with A/V equipment or be pre-drilled for lighting/electrical of any kind, buyer is responsible for providing ERINN V. with a to-scale detailed drawing of all requirements. ERINN V. will not be held responsible for errors or omissions of buyer or their drawings, nor for malfunction of any kind.


EXCLUSIONS

All of Manufacturer’s drawings, descriptive matter, weights, dimensions, descriptions and illustrations contained in the Manufacturer’s catalogues, prices lists or advertisements are close approximations only and intended to give a general description of the goods and shall not form part of this agreement. Furniture is handmade, and therefore is subject to slight variations. All sizes as indicated in the price list are within 1/2” variance. Tolerance for all custom upholstery is 1”.


RETURNS

All returns must be authorized by management. No returns are accepted without prior authorization. A 25% service charge will be placed on all returns unless otherwise exempted by management.


DESIGNS & DIMENSIONS

Measurements are approximate and will vary slightly due to hand craftsmanship.

We reserve the right to modify the design or dimensions of all items in our line. Seat heights include cushions. Glides are available upon request.


COM/COL SHIPPING INFORMATION

Ship all COM/COL to Erinn V. at 250 1/2 North La Peer Drive, Beverly Hills, CA 90211. Please sidemark the fabric with the showroom/designer name, furniture style number, and Erinn V. sales order number. International fabric shipment to be sent duties paid (ddp).


WARRANTY

For residential use, Erinn V. furniture frames are backed by a three year, non-transferable warranty to be free from defects in material and workmanship. For hospitality and contract use, Erinn V. furniture frames are warranted against defects in material and workmanship for one year from the date of delivery. Erinn V. cushions are backed by a non-transferable warranty to be free from defects in material and workmanship at the time of delivery. Warranty extends to repair or replacement at our discretion. Claims must be sent with photography showing the defect.

Once a consignee accepts furniture, Erinn V. accepts no responsibility for maintenance or for the effects of the environment on the products. Wood products can expand and contract with temperature and humidity, as wood is a natural product.

Erinn V. offers no express or implied warranties on finishes. The warranty for powder coat components is three years for residential use and one year for hospitality and contract use. The warranty on powder coat covers peeling, blistering or cracking. The warranty does not apply if the furniture is dropped, dragged, chipped or handled in an improper manner.

SHIPPING / DELIVERY

As a service to our customers, ERINN V. (EV) will arrange a white-glove, blanket wrapped quote upon request for the shipping of orders via one of our preferred carriers. All charges are PROFORMA and will be included on the final balance due notice.

If the customer chooses to manage their own freight and delivery, EV must be notified of the specific details of the movement. The fee to move the product from a manufacturer to a terminal for “customer’s own” pick-up will be added to the balance due. All product is moved through a Bill of Lading (BOL). The location of the pick-up by the client or the client’s agent may trigger sales tax responsibility at that location.

Ownership of the product transfers to the customer (owner) upon the freight carrier taking possession of the order for transport. Therefore, responsibility for damage occurring in-transit is the owner’s and all claims for freight damage must be made immediately upon receipt.

Freight claims must be filed directly with the selected carrier. EV is not responsible for a customer’s own or third party freight damage and claim.
